3. Use of Model Photos

  1. Age Requirement for Model Photos: All model character photos uploaded must depict individuals who are at least 18 years of age.
  2. Permission and Copyright: You must have full permission to use or upload any model character photos. You must ensure you have the necessary rights and licenses from the copyright holder(s) for the images you upload. You agree that you will not upload any photos that infringe or violate any third-party rights.

4. License and Intellectual Property

  1. Ownership: Unless otherwise stated, all intellectual property rights in the Services, including but not limited to text, graphics, images, software, and other materials (“Content”), are owned by ModelMe or its licensors.
  2. Limited License: Subject to these Terms, we grant you a non-transferable, non-exclusive, revocable, limited license to use the Services for your personal or internal business purposes.

5. Acceptable Use

You agree not to:
- Upload or otherwise transmit any content that is unlawful, offensive, threatening, defamatory, or that otherwise violates the rights of any third party.
- Use the Services for any illegal or unauthorized purpose.
- Circumvent, disable, or otherwise interfere with security-related features of the Services.

6. User Conduct

You are solely responsible for:
- All activity that occurs under your account.
- The legality, reliability, accuracy, and appropriateness of any photos, information, or other content you upload.

7. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, ModelMe disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall ModelMe or its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

10. Indemnification

You agree to indemnify and hold harmless ModelMe, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:
1. Your access to or use of the Services.
2. Your violation of these Terms.
3. Your violation of any third-party right, including without limitation any intellectual property right or privacy right.
4. Any claim that the content you submitted caused damage to a third party.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. When we do, we will provide notice by updating the “Last Updated” date at the top of these Terms. Your continued use of the Services after such modifications constitutes your acceptance of the new Terms.

12. Governing Law

These Terms and any dispute arising out of or related to them will be governed by and construed in accordance with the laws of the jurisdiction in which ModelMe is established, without regard to its conflict of law provisions.
